Fungibull.ai — Terms and Conditions

These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you (the “User”, “you”, “your”) and Vtail Ltd (“we”, “us”, “our”, registered at 20-22 Wenlock Road, London, N1 7GU, United Kingdom) governing your access to and use of the Fungibull.ai website, application, and any related services, tools, or features operated under the Fungibull brand (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

We may update or modify these Terms at any time. When we make changes, we will update the “Last Updated” date above and may notify you through the Service, by email, or by other means we deem appropriate. Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service immediately.

1. Definitions

“Persona Card” means the personality-based profile card generated by the Service based on publicly available blockchain data associated with a wallet address, including the archetype, statistics, traits, commentary, and any other AI-generated content.

“Wallet Address” means any public blockchain address or blockchain-based naming identifier (such as a domain or alias registered on any supported naming service) submitted by a User to the Service for a persona reveal.

“Reveal” means the process by which the Service analyses a Wallet Address and generates a Persona Card.

“AI-Generated Content” means all text, descriptions, personality profiles, roasts, predictions, and other written content produced by artificial intelligence as part of the Service.

“Platform” means the Fungibull.ai website, any associated subdomains (including fungibull.com), mobile applications, and any other interfaces through which the Service is made available.

“Account” means a registered user account on the Platform, if and when account registration is made available.

“Paid Features” means any premium features, subscriptions, digital goods, tokens, collectibles, or other products or services offered through the Service for a fee.

“Content” means all text, graphics, images, data, software, and other materials available on or through the Service.

2. The Service

Fungibull.ai is a tool that generates personality-based persona cards from publicly available blockchain wallet data. Users submit a public wallet address, and the Service retrieves on-chain data and uses AI to generate a unique persona card with an archetype, personality traits, statistics, and commentary.

Certain features of the Service may be available without creating an account. Other features may require account registration. We reserve the right to change which features require an account at any time.

3. Entertainment Purpose Only — Not Financial Advice

THE SERVICE IS DESIGNED PURELY FOR ENTERTAINMENT, SOCIAL SHARING, AND FUN. IT IS NOT A FINANCIAL TOOL, INVESTMENT SERVICE, PORTFOLIO TRACKER, TRADING PLATFORM, OR ADVISORY SERVICE OF ANY KIND.

All content generated by the Service — including persona cards, archetype classifications, personality descriptions, roasts, predictions, statistics, trait assessments, and any other AI-generated or data-derived output — is created for entertainment purposes only. None of it constitutes, and none of it should be interpreted as:

• Financial, investment, tax, or legal advice of any kind.
• A recommendation, endorsement, or assessment of any cryptocurrency, token, NFT, blockchain project, or digital asset.
• A factual, accurate, or reliable assessment of any individual’s financial behaviour, trading ability, portfolio performance, or net worth.
• A personality assessment, psychological profile, or any form of professional analysis.
• An indication or prediction of future financial performance or market outcomes.

The persona cards and all associated content are generated by AI based on publicly available blockchain data and may be inaccurate, incomplete, exaggerated, humorous, or entirely fictional. You should not rely on any content from the Service for financial decisions, investment choices, or any other consequential purpose.

The Service is intended for you to enjoy, share with friends, and post on social media for fun. By using the Service, you acknowledge and agree that you understand its entertainment-only nature and accept full responsibility for any decisions you make independently of the Service.

4. Eligibility

To use the Service, you must:

• Be at least 18 years of age.
• Not be located in a jurisdiction where use of the Service would be unlawful.
• Not be listed on any government list of prohibited or restricted parties.

If you use the Service on behalf of another person or entity, you represent that you are authorised to accept these Terms on their behalf, and both you and the person or entity agree to be responsible for compliance with these Terms.

5. User Accounts

If the Service offers account registration, you agree to provide accurate, current, and complete information during the registration process and to update this information promptly if it changes. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must not share your account credentials with others, and you must notify us immediately if you suspect any unauthorised access to your account. We are not responsible for any loss or damage arising from your failure to maintain the security of your account.

We reserve the right to suspend, disable, or delete your account at our sole discretion, including if we reasonably believe you have violated these Terms. We may also reclaim usernames on behalf of individuals or businesses with legal rights, such as trademark ownership.

6. Paid Features, Purchases, and Subscriptions

6.1 General

We may from time to time offer Paid Features, including but not limited to premium persona reveals, enhanced analytics, digital goods, collectibles, tokens, subscriptions, or other products and services. If and when Paid Features are introduced, the terms in this section will apply.

6.2 Pricing and Payment

All pricing and payment terms for Paid Features will be as stated on the Platform at the time of purchase. Payment obligations are binding at the time of purchase. We accept payment methods as displayed on the Platform, which may include credit or debit cards, cryptocurrency, or other methods. Payment processing is handled by third-party payment processors, and your use of those processors is subject to their respective terms and policies.

6.3 Refunds

Unless otherwise stated or required by applicable consumer protection law, all purchases of Paid Features are final and non-refundable. Where a statutory right to a refund exists (for example, under UK consumer law for digital content), we will honour that right.

6.4 Subscriptions

If we offer subscription-based Paid Features, subscriptions will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through the Platform or by contacting us at support@fungibull.com. Cancellation will take effect at the end of the current billing period.

6.5 Taxes

You are responsible for any applicable taxes, duties, or fees associated with your purchase or use of Paid Features, unless we are legally required to collect and remit such taxes.

6.6 Price Changes

We reserve the right to modify pricing for Paid Features at any time. Price changes for active subscriptions will take effect at the start of the next billing period following notice of the change.

6.7 No Investment or Financial Product

Paid Features, including any digital goods, tokens, or collectibles offered through the Service, are not securities, financial products, or investment instruments. They do not confer ownership, equity, profit-sharing rights, or any financial interest in Vtail Ltd or any third party. They are provided solely for use within the Service and for personal enjoyment.

7. User Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service.
• Use automated scripts, bots, scrapers, or similar tools to access the Service or extract data in bulk, except with our prior written consent.
• Circumvent, disable, or interfere with any rate limiting, security, or access control features of the Service.
• Use the Service to harass, defame, threaten, or intimidate any individual, including by repeatedly revealing another person’s wallet address for malicious purposes.
• Misrepresent your identity or affiliation, or impersonate any person or entity.
• Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party’s use of the Service.
• Use the content generated by the Service, including Persona Cards, to create misleading, fraudulent, or defamatory content about any individual or entity.
• Sell, resell, or commercially exploit the Service or access to the Service without our prior written consent.
• Use data mining, robots, or similar methods to extract data from the Service for commercial purposes.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, code, branding, logos, graphics, user interface, and underlying technology, is owned by Vtail Ltd or its licensors and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

8.2 AI-Generated Content

The AI-Generated Content on your Persona Card (including archetype names, personality descriptions, roasts, and commentary) is generated automatically using third-party AI models. You are granted a limited, non-exclusive, worldwide, royalty-free licence to use, share, screenshot, download, and post your Persona Card for personal, non-commercial purposes, including sharing on social media. This licence is granted on the condition that you do not remove or obscure any Fungibull branding or watermarks on the Persona Card.

You may not use Persona Cards or AI-Generated Content for commercial purposes (including advertising, merchandising, resale, or inclusion in paid products or services) without our prior written consent.

8.3 Trademarks

“Fungibull”, “Fungibull.ai”, the Fungibull logo, and associated branding are trademarks of Vtail Ltd. You may not use our trademarks without our prior written consent, except as reasonably necessary to share or reference your Persona Card.

8.4 User Content

If you submit feedback, suggestions, ideas, or other content to us (collectively, “User Content”), you grant Vtail Ltd a non-exclusive, worldwide, perpetual, irrevocable, royalty-free licence to use, reproduce, modify, and distribute such User Content for any purpose, without compensation or attribution to you.

9. Blockchain Data and Third-Party Services

The Service retrieves publicly available blockchain data via third-party providers. We do not control the accuracy, completeness, or availability of blockchain data. Blockchain data is retrieved on a best-efforts basis, and we are not responsible for any errors, omissions, delays, or inaccuracies in the data retrieved or displayed.

The Service relies on third-party infrastructure and APIs. We are not responsible for any downtime, errors, or service interruptions caused by third-party providers. Your use of any third-party service is subject to that provider’s own terms and privacy policy.

10. AI-Generated Content Disclaimer

The personality profiles, archetype descriptions, roasts, predictions, and all other text generated by the Service are created by artificial intelligence and are intended solely for entertainment. AI-Generated Content may be inaccurate, incomplete, humorous, exaggerated, or entirely fictional. The Service does not make factual claims about any individual, wallet owner, or their financial behaviour.

You acknowledge and agree that AI-Generated Content does not constitute financial advice, personality assessment, psychological profiling, or any other professional analysis. You should not rely on AI-Generated Content for any decision-making purpose.

We do not guarantee the availability of AI-Generated Content. If the AI service is unavailable, the Service may display generic archetype content in place of personalised copy.

11. Sharing and Social Features

The Service allows you to share your Persona Card via social media, direct links, and downloadable images. When you share a Persona Card, the content of the card (including archetype, statistics, commentary, and the associated wallet address) becomes publicly accessible via the shared URL or image.

You are solely responsible for any content you share through or in connection with the Service, including any commentary you add when posting on social media. You agree not to use shared Persona Cards to harass, defame, or mislead others.

Wallet addresses submitted to the Service are public blockchain addresses. By revealing a wallet address and sharing the resulting Persona Card, you acknowledge that the wallet address and associated card content will be publicly visible.

12. Rate Limiting and Access Controls

To protect the Service and ensure fair usage, we implement rate limits on the number of reveals and requests that can be made within a given time period. Exceeding these limits may result in temporary or permanent restriction of your access to the Service.

We reserve the right to modify rate limits, block access, or restrict usage at any time and without prior notice if we reasonably believe such action is necessary to protect the Service or its users.

13. Territories and Restrictions

Vtail Ltd is a UK-based company and is required to comply with UK sanctions law (administered by OFSI), UN Security Council sanctions, and applicable anti-money laundering regulations. We may restrict access to the Service from certain countries or territories at any time in order to comply with applicable laws, sanctions, or for fraud prevention purposes.

You are responsible for ensuring that your use of the Service is lawful in your jurisdiction. Access to the Service from territories where such access is prohibited is at your own risk and responsibility.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VTAIL LTD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content generated by the Service, including AI-Generated Content and blockchain data.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable UK law.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VTAIL LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL VTAIL LTD’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

These limitations apply even if we have been advised of the possibility of such damages and even if a remedy set forth in these Terms is found to have failed its essential purpose.

16. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Vtail Ltd, its subsidiaries, affiliates, officers, directors, agents, partners, and employees from any losses, liabilities, claims, demands, damages, expenses, or costs (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your infringement of any intellectual property or other rights of a third party; or (d) your conduct in connection with the Service.

17. Privacy

For information about how we collect, use, share, and otherwise process information about you, please see our Privacy Policy available at fungibull.ai/privacy-policy (or fungibull.com/privacy-policy). The Privacy Policy forms part of these Terms.

18. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. This includes the right to add, remove, or change features, archetypes, content, rate limits, pricing, Paid Features, or any other aspect of the Service. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

19. Suspension and Termination

19.1 Suspension or Termination by Us

We may restrict, suspend, or terminate your access to the Service (including your Account, if applicable) at any time and for any reason, including if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law. Termination may take the form of account suspension, IP-based restrictions, rate limit enforcement, or other technical measures.

19.2 Termination by You

You may stop using the Service at any time. If you have an Account, you may request account deletion by contacting us at support@fungibull.com.

19.3 Effect of Termination

Upon termination, your right to use the Service and any associated Paid Features will cease immediately. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law.

19.4 Appeals

If your access is suspended or terminated and you believe this was in error, you may appeal by contacting us at support@fungibull.com within 30 calendar days. We will review your request in good faith and may, at our sole discretion, reinstate your access.

20. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in the UK, nothing in these Terms affects your statutory rights under applicable consumer protection legislation.

21. Dispute Resolution

Before initiating any formal legal proceedings, you agree to first contact us at support@fungibull.com to attempt to resolve the dispute informally. You agree to provide a written description of the dispute, including your name, contact information, and the nature of the claim. We will endeavour to resolve the dispute within 30 days of receipt of your notice.

If the dispute is not resolved informally within 30 days, either party may pursue formal legal proceedings in accordance with Section 20 above.

22. Giveaways, Promotions, and Competitions

From time to time, we may run giveaways, prize draws, sweepstakes, and competitions (“Promotions”) in connection with the Service. All Promotions will be subject to separate terms and conditions which will be made available at the time of the Promotion. No purchase is ever necessary to enter a Promotion. Promotions are open to participants aged 18 and over only and are void where prohibited or restricted by law.

23. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

24. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented in connection with specific features or Paid Features, constitute the entire agreement between you and Vtail Ltd regarding the Service and supersede all prior agreements, understandings, and communications.

25. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorised representative of Vtail Ltd.
